General Terms and Conditions

1. General

1.1 Al Badr International Food Industries, tax registration number 768-277-078, operating under the brand name BADR (“BADR”), sells chocolate products, pastries and related food products online through its website www.badr-eg.com (the “Online Store”) to both consumers and businesses (“Buyer” or “Customer”). A consumer is defined as a natural person who purchases mainly for purposes outside business activity.

1.2 These general terms and conditions apply to all orders placed in the Online Store and to all agreements between you and Al Badr International Food Industries regarding the sale of products to you through BADR’s Online Store (the “Agreement”). Before completing an order, you will be asked to accept these general terms and conditions. Please read them carefully and make sure you understand their meaning before ordering any products from the Online Store. If you do not accept the general terms and conditions before placing your order, you will not be able to order products from the Online Store.

1.3 These general terms and conditions apply as written at any given time and may be changed without prior notice to you as Buyer/Customer. It is your responsibility as Buyer to stay updated on the latest version of these terms. The version of the terms in force at the time of your order applies to the Agreement. These general terms and conditions were last updated on 2025-06-11. Where these general terms and conditions differ depending on whether you purchase as a consumer or as a business, this is specifically stated.

1.4 By accepting these general terms and conditions, you confirm that you are 18 years of age or older and have the legal capacity to enter into agreements. If you are not a consumer, you confirm by accepting these general terms and conditions that you are authorized to enter into agreements on behalf of the company/association for which you purchase products in the Online Store.

1.5 If one or more provisions of these general terms and conditions are or become invalid or impossible to fully or partly enforce, this shall not affect the validity of the remaining provisions.

1.6 This section applies only to businesses. Al Badr International Food Industries provides its deliveries, services and offers, and enters into agreements exclusively on the basis of these general terms and conditions. These general terms and conditions apply to all future agreements between you and Al Badr International Food Industries, even if they have not been expressly accepted by you again. These general terms and conditions, together with all documents expressly referred to in them, constitute the entire agreement between you and Al Badr International Food Industries and replace and invalidate all previous agreements, promises, assurances, warranties, representations and understandings between you and Al Badr International Food Industries, whether written or oral.

1.7 The conclusion of the Agreement will be documented and stored by Al Badr International Food Industries.

2. Conclusion of Agreement

2.1 The Agreement is concluded in English, unless otherwise agreed.

2.2 The presentation of products in BADR’s Online Store does not constitute a binding offer by Al Badr International Food Industries to complete a purchase agreement.

2.3 After placing products in the shopping cart, you can review them and, if necessary, correct your order. Your offer to purchase is made only after you click “order with obligation to pay”, “complete order”, “pay now” or a similar button.

2.4 After placing an order in the Online Store, you may receive an automatically generated email confirming that the order has been received. This receipt confirmation does not constitute acceptance of your offer to purchase.

2.5 After placing an order in the Online Store, you may also receive an order confirmation by email, with information about the products you purchased and the price. The price stated in the order confirmation applies to your purchase.

2.6 A purchase agreement is concluded only when Al Badr International Food Industries expressly accepts the offer to purchase, or when Al Badr International Food Industries sends the products to you without first providing such express acceptance.

2.7 Al Badr International Food Industries reserves the right to apply a minimum order value, which will be shown in the Online Store or at checkout.

2.8 If Al Badr International Food Industries is unable to supply you with a product, for example because the product is out of stock or no longer available, because the product cannot be delivered by the requested delivery date, because a product has been incorrectly priced, or because the permitted limit for the number of products per customer has been exceeded in an order, Al Badr International Food Industries will inform you by email and your order may not be processed. If you have already paid for the products, Al Badr International Food Industries will refund the relevant amount as soon as possible.

3. Price and Delivery Charges

3.1 The prices shown on the product pages in the Online Store include applicable taxes unless otherwise stated. Delivery charges are shown at checkout.

3.2 Although Al Badr International Food Industries intends to always provide correct information on the website, there is a possibility that products in the Online Store may be incorrectly priced. If a product has been incorrectly priced, Al Badr International Food Industries disclaims responsibility for delivering the product at the incorrect price or at all. In such case, Al Badr International Food Industries will either cancel the order and refund the price you paid, or contact you and ask whether you wish to complete the order at the correct price.

4. Payment Terms

4.1 Available payment methods are shown at checkout and may include card payment, cash on delivery, electronic payment methods or other payment options available in Egypt.

4.2 When you pay by credit or debit card, the order amount may be charged when you complete your order, unless otherwise stated at checkout.

4.3 If you have not paid for your purchase by the due date, Al Badr International Food Industries may claim compensation from you in accordance with applicable law and the payment terms stated at checkout or on the invoice.

5. Delivery and Delivery Time

5.1 The products are delivered to the address you provided in your order, unless otherwise agreed between you and Al Badr International Food Industries.

5.2 Delivery is available within Egypt, subject to the delivery areas available in the Online Store.

5.3 Once the product has been delivered to you, the risk passes to you and you are responsible for keeping it safe.

5.4 Ordered products are delivered subject to availability. If a product is not available at the time of order, you will be informed of the expected delivery time. As soon as the product is available, it will be sent to you.

5.5 Estimated delivery times are shown at checkout or in the delivery information on www.badr-eg.com. Delivery times are estimates and may vary depending on the delivery address, courier processing times, public holidays and circumstances outside our control.

5.6 If there is a risk that high outdoor temperatures may affect the quality of the products, Al Badr International Food Industries may delay delivery or temporarily pause shipments until the products can be shipped safely. In such case, the estimated delivery times may not apply. Al Badr International Food Industries will inform you when the products can be shipped.

5.7 If an event occurs that is outside Al Badr International Food Industries’ reasonable control, known as “force majeure”, this may mean that Al Badr International Food Industries is unable to complete delivery within the estimated delivery time, or at all. In such case, Al Badr International Food Industries is not responsible for delayed or cancelled deliveries if the delay or inability to deliver the products is wholly or partly due to such an event.

6. Transport

6.1 Al Badr International Food Industries bears the risk for the products during transport until the products have been delivered to the customer. If any product delivered to you has clearly been damaged during transport, please inform the carrier immediately and contact Al Badr International Food Industries as soon as possible.

6.2 Your statutory rights are not affected by your failure to notify the carrier or contact Al Badr International Food Industries immediately. However, you are expected, to a reasonable extent, to assist Al Badr International Food Industries with any potential claims against the carrier and/or relevant insurance company.

7. Retention of Title

7.1 Al Badr International Food Industries retains ownership of the products until they have been paid for in full.

7.2 For business customers, Al Badr International Food Industries retains ownership of the products until all claims that Al Badr International Food Industries has against the business customer, arising from the current business relationship, have been paid in full.

8. Set-Off / Right of Retention

This section does not apply if you are a consumer.

8.1 A right to set off a claim exists only if the counterclaim has been established by a competent court or if the counterclaim has not been disputed by Al Badr International Food Industries.

8.2 To exercise a right of retention, the counterclaim in question must arise from the same contractual relationship as Al Badr International Food Industries’ claim against the business customer under the Agreement.

9. Right of Withdrawal and Returns

9.1 As a consumer, you may have rights to cancel or return a purchase in accordance with applicable Egyptian consumer protection laws.

9.2 The products supplied by Al Badr International Food Industries under this Agreement consist of various chocolate, pastry and food products. Since food products may be perishable and may quickly deteriorate, cancellation, return or withdrawal rights may be limited where permitted by applicable law.

9.3 You do not have a right to return products that are sealed for health or hygiene reasons if the seal has been broken, or products that have been specially manufactured for you or have a clear personal character, unless otherwise required by applicable law.

10. Right to Complain, Warranties

10.1 As a consumer, you have the right to receive products that are free from defects in accordance with applicable consumer protection laws.

10.2 To claim a defect in an ordered product, you must contact Al Badr International Food Industries as soon as possible after discovering the defect. Complaints are made to info@badr.se. In the event of a defect in a product, Al Badr International Food Industries shall first be given the opportunity to remedy the defect, for example by replacing the product or refunding the relevant amount where appropriate.

10.3 Al Badr International Food Industries’ liability for a defective product is limited to the product’s price as stated in the Online Store, including delivery charges and other related fees, where applicable, unless otherwise required by mandatory law.

10.4 Al Badr International Food Industries reserves the right to reject a complaint if it turns out that the product is not considered defective under applicable consumer protection laws.

10.5 To business customers, Al Badr International Food Industries offers products of satisfactory quality and free from material defects, subject to the customer inspecting the products immediately after delivery and notifying Al Badr International Food Industries of any visible defects without delay.

11. Liability if You Are a Business

11.1 This section applies only to businesses. BADR’s products are intended to be used internally within your company unless otherwise agreed in writing. By accepting these general terms and conditions, you confirm that you will not use the products for resale purposes unless such resale has been expressly agreed with Al Badr International Food Industries.

11.2 Al Badr International Food Industries has no liability towards you for delays or inability to deliver in accordance with the Agreement, or for any damage or defect in products delivered under any Agreement, in cases of force majeure.

11.3 Nothing in these general terms and conditions limits or excludes Al Badr International Food Industries’ liability where such limitation or exclusion is not permitted by applicable law.

11.4 Subject to applicable law, Al Badr International Food Industries is not liable for loss of profit, loss of sales, loss of business, loss of income, loss of savings, business interruption, loss of production, loss caused by delay, loss of business opportunity, loss of goodwill, or any indirect or consequential loss.

12. Liability if You Are a Consumer

12.1 This section applies only if you are a consumer. If you act as a consumer when ordering or purchasing products in the Online Store, Al Badr International Food Industries is not liable towards you, to the extent permitted by mandatory law, for:

loss that is not foreseeable;

loss arising without Al Badr International Food Industries having breached the Agreement; or

business loss, including loss of revenue, business, contracts, goodwill, business opportunities and similar losses.

12.2 Nothing in these general terms and conditions is intended to limit your mandatory statutory rights as a consumer.

13. Applicable Law and Disputes

13.1 These terms and the Agreement shall be governed by and interpreted in accordance with the laws of Egypt, unless otherwise required by mandatory consumer protection legislation.

13.2 Disputes shall primarily be resolved by agreement between you and Al Badr International Food Industries. If the dispute cannot be resolved by agreement, it shall be handled by the competent courts or authorities in Egypt, unless otherwise required by mandatory law.

14. Other Terms

14.1 You may assign or transfer your rights or obligations under any Agreement only if you and Al Badr International Food Industries have first agreed to this in writing.

14.2 No party other than Al Badr International Food Industries and the Buyer shall have the right to enforce the Agreement.

14.3 The fact that Al Badr International Food Industries does not require you to perform any of your obligations under the Agreement, or does not exercise its rights against you or delays doing so, does not mean that Al Badr International Food Industries has waived its rights.

14.4 Before purchasing a product from BADR, we ask you to carefully read the ingredients list for each product you wish to purchase on the Online Store’s nutritional information page, especially if you have food allergies or intolerances, for example to nuts, milk, gluten or other allergens. For complete product information, manufacturing date and/or best-before date, please refer to the information on the product packaging.

14.5 Al Badr International Food Industries reserves the right to correct errors in the content of the Online Store’s website.

14.6 In addition to what is stated in these general terms and conditions, Al Badr International Food Industries’ privacy policy in force from time to time shall also apply to the use of the website www.badr-eg.com.
